SECTION A – PREAMBLE
Whereas the Articles of Incorporation of the Sanibel Community Church Incorporated, of Sanibel Florida ("Sanibel Community Church" or "SCC") provide legal and spiritual framework for the mission of this Church, these Bylaws establish the rules, the organization and procedure for aiding in the realization of the Corporate Spiritual Goals of our existence. In all matters of this Church, wherever conflict exists the Laws of God and His Kingdom shall take precedence over all other conflicting laws, regulations, rules and procedures. The Bible itself, as the inspired and infallible Word of God, speaks with final authority concerning trust, morality, and the proper conduct of mankind. It is the sole and final source of all that we believe. We recognize Jesus Christ as the head of this body, His Church.
SECTION B – CORE VALUES
B-1 The Core Values of Sanibel Community Church consist of the written expression of our Statement of Faith, our Distinctives, and our Statement on Social Principles, as shown in addendum A-C to these Bylaws. It is through these documents that we express to each other and the world around us the beliefs we hold in common and how these beliefs inform our lives.
B-1.1 There shall be periodically a review of our Statement of Faith, our Distinctives, and our Statement on Social Principles, our Mission Statement and our Vision Statement.
B-1.2 The Church may adopt and from time to time modify policy and procedures which provide detailed standardized methodology by which the Articles of Incorporation, the Bylaws and Core Values of the Church direct our actions and behaviors. There shall be a centralized repository of the most current policies and procedures which will be accessible to Church members.
SECTION C – RULES OF ORDER
C-1 Rules: These Bylaws shall govern in all cases where they are not in conflict with the Laws of God, nation, state, and the Articles of Incorporation of this Congregation. Where voids exist, Robert’s Rules of Order Newly Revised shall govern.
C-1.1 It will be the responsibility of the Chair, in consultation with the Senior Pastor, to establish Special Rules of Order for conducting Council meetings. Such Rules of Order are to be presented to the Council at its initial meeting and will govern throughout that Council’s term.
C-1.2 A quorum for meeting and voting purposes, unless specified elsewhere in the Articles and Bylaws, shall consist of more than 50% of the regular voting membership of the Council, any Committee or Ministry Team.
SECTION D – MEMBERSHIP

D-1 Membership: Members of the Church shall be professing Christians who seek to serve Christ as Members of this congregation, who are baptized believers in the Lord Jesus Christ, who affirm the tenets of the Church’s Core Values, who attend Sunday services regularly while in residence locally (health permitting), and who offer evidence, by their confession and their conduct that they are pursuing a life in accordance with the Laws of God and His Kingdom and are actively pursuing and continuing in a vital fellowship with the Lord Jesus Christ.
D-1.1 The membership of the Church, acting through the Church Council, shall have final authority in all matters of Church governance, as set forth in the Articles of Incorporation and these Bylaws.
D-1.2 Council shall approve additions to or deletions from the Membership Roll as required by the Articles of Incorporation.
D-1.3 Volunteers serving in a position of ‘influence’ of others, must be Members. Exceptions may be made for non-member Teachers or Guest Speakers who:
• Affirm their belief in the Lord Jesus Christ
• Embrace the Distinctives of SCC; and
• Have been reviewed and approved by the Shepherding Committee.
SECTION E– THE CHURCH COUNCIL
E-1 Biblical Authority: For purposes of Sanibel Community Church's faith, doctrine, practice, policy and discipline, the Church Council is Sanibel Community Church’s final interpretive authority on the Bible’s meaning and application.
E-2 Composition: In accordance with the Articles of Incorporation, the Church Council shall consist of the Senior Pastor (ex-officio) and 10 Members of the Church elected by the Congregation and shall include the Council Officers (the Chair, Vice Chair, Secretary, Treasurer), and six Members at Large.
E-2.1 Members of the same family may not serve on the Church Council at the same time.
E-3 Officers of the Church Council: The Officers of the Church Council shall consist of the Corporate Officers (the Chair, Secretary and Treasurer) together with the Vice Chair.
E-4 Meetings: It shall be the duty of the Chair of the Church Council to call the Church Council to meet, either in person or electronically, no less than 10 times per year to consider the regular business of the Church, and such other matters as may, from time to time, be raised by Council or other Church members.
E-4.1 The Chair has authority to call special meetings with a one-week prior notice requirement. In situations that constitute an emergency in the opinion of the Chair and Council Officers, an immediate meeting may be called.
E-4.2 All Council meetings are open to Church members. Members may observe but not participate in the conduct of the meeting unless their input is solicited by the Council Chair. Members may address the Council at a meeting by arranging to be put on the meeting agenda by contacting the Council Chair at least two weeks prior to a scheduled meeting. Direct participation in the meeting will be limited to the approved agenda item.

E-4.3 Guests may be invited to attend and participate in Council meetings at the discretion of the Council Chair. Invited Guests are not entitled to vote during any proceedings.
E-5 Duties: Council duties consist of the oversight and management of the corporate, budget and other financial affairs of the Congregation, subject to and in accordance with the Bylaws, Articles of Incorporation, and the Core Values of Sanibel Community Church. In carrying out those duties, Council Members pledge to seek God's will for our church and to be obedient to that will as we are instructed by His word, prayer, and meditation.
E-6 Term of Office for Council Officers: Council Officers may serve a three-year term commencing upon their confirmation to a Council Officer position, but they must be nominated and elected annually. In the third year of their initial term, the Nominating Committee may renominate and reconfirm any Officer to serve an additional three-year term as a Council Officer in a position other than that currently held by the Officer. In no event, however, may any Council Officer serve more than six consecutive years. After serving their sixth year as a Council Officer or Member at Large, they are required to remain ineligible for re-election to Church Council for one year.
E-7 Term of Office for Council Members at Large: Council Members at Large shall serve one three year term. After serving their third year they are required to remain ineligible for re-election as Member at Large for one year. The six Council Members at Large shall serve staggered terms, which may necessitate at times less than a three-year term. A Member at Large may be nominated and confirmed for a Council Officer position at any time during or at the end of their term. In that event and in order to facilitate staggered terms, the Nominating Committee may nominate a new Member at Large to fill the unexpired term of the Member at Large whose seat is being vacated, or a Member at Large may be nominated to commence a new three-year term.
E-8 Maximum terms that can be served on Council
The maximum term that can be served as a Member at Large is three years.
The maximum term that can be served as a Church Officer is six years in two different capacities. The maximum term that can be served as both Member at Large and Church Officer is six years.
E-9 Nomination and Election of Officers and Council Members: The Nominating Committee shall present to the Church Council a slate of nominees for Council Officers (Chair, Vice Chair, Secretary and Treasurer), and Members at Large, by the September meeting of the Council for approval. The Council approved nominees shall be recommended at the October Congregational Annual Meeting for election and shall assume the duties of their office on November 1.
E-10 Investment and Endowment: From time to time, SCC receives contributions from estates or donors who request the donations be used for a specific purpose. Church Council will decide whether to accept these contributions.
E-11 Benevolence and Member Care: The Church Council may from time to time as needed establish policies which provide for payment and other distributions from funds received by the church to provide specific types of assistance for our staff, Members, members of the community, and other Section 501 (c) (3) corporations that are in the furtherance of the general purpose and objectives of the church as delineated in Article II of the Articles of Incorporation of Sanibel Community Church, Incorporated.
E-12 Appointive Powers: The Chair of the Church Council shall have appointive powers to fill vacancies which may arise during the church year. Appointees will serve until the following Annual Meeting. The Chair may appoint special ad hoc committees subject to the Bylaws. Such appointments shall terminate at the next Annual Meeting.

E-13 Transition: It is anticipated that it may require a period of time to transition from the previous Bylaws to these newly adopted Bylaws. During the two years following adoption, individuals currently serving on Council or any Committee may continue to serve until their replacement has been determined according to these Bylaws without regard to any time limitations established by the old Bylaws.
SECTION F – OFFICERS OF THE CHURCH COUNCIL
F-1 Chair: The Chair shall be the Senior Officer of the Church.
F-1.1 The Council Chair shall be nominated by the Nominating Committee subject to Sections E 6, E-8 and E-9.
F-1.2 The Council Chair shall call Council meetings no less than 10 times per year in accordance with Section E-4, appoint such committees as are required by the Articles and Bylaws and the Council, and other ad hoc committees as the Chair deems necessary or desirable, in addition to the duties specified by the Articles of Incorporation.
F-1.3 Council Chair shall serve as ex-officio Member of all committees.
F-1.4 Council Chair is responsible for either: having the Church’s financial records audited at least once every three years and having the audit results presented to the Church Council and available to the Membership; or the Church Council can acquire the services of an independent CPA firm to reconcile and monitor the Church financials on a monthly basis in lieu of a CPA audit every three years. The Chair may choose to appoint an individual CPA or professional firm to conduct the audit.
F-2 Vice Chair: The Vice Chair shall serve as Council Chair in the absence of the Chair.
F-2.1 The Vice Chair shall be nominated by the Nominating Committee subject to Sections E-6, E-8 and E-9.
F-2.2 The Vice Chair shall serve the Council as needed and will be the Church Council parliamentarian. The Vice Chair may chair other Committees as approved by Council. The Vice Chair may also sit on other Committees as an ex-officio Member as approved by Council.
F-3 Treasurer: The Treasurer shall oversee the financial reports and budget of the Church.
F-3.1 The Treasurer of the Church Council shall be nominated by the Nominating Committee subject to Sections E-6, E-8 and E-9.
F-3.2 The Treasurer shall serve as the Budget and Finance Committee Chair and shall be responsible for the budget process. Treasurer shall provide detailed financial reports to the Church Council and Staff monthly. Treasurer of the Church Council shall serve as ex-officio Member of the Outreach and Missions Committee.
F-4 Secretary: Secretary of the Church shall document all official Church Council Functions.
F-4.1 The Secretary of the Church Council shall be nominated by the Nominating Committee subject to Sections E-6, E-8 and E-9.

F-4.2 The Secretary shall provide accurate documentation of the official minutes of all Council Meetings, Congregational Meetings as well as meetings of the Senior Pastor Review Committee, of which the Secretary serves as a member. Previous minutes shall be presented to the Council no less than one week prior to the next meeting.
SECTION G– COMMITTEES
G-1 Committees: The bulk of the Council’s work is done through its committees. Committees are to assist the Council in carrying out its duties by providing expertise and advice in selected areas. The Committees are composed of individuals who use or develop special skills, interests, and insights, to enable the Church to reach proper solutions to challenges it encounters in accomplishing its mission and fulfilling its vision. Council will seek scripturally qualified people, of good repute, full of the Spirit and wisdom to manage the practical actions needed to fulfill the vision of our church.
G-1.1 Committees are an extension of the Council. Each committee will include a minimum of one Council member.
G-1.2 Committees will be chaired by either a Pastoral Staff member or a Council member.
G-1.3 Non-staff committee members will be selected by the Nominating Committee which shall present to the Church Council a slate of nominees for each Standing Committee by the September meeting of the Council for approval. The Council approved nominees shall be recommended at the October Annual Meeting for election and shall assume the duties of their office on November 1st.
G-1.4 Committee meetings are not open to the Membership. Participation in any Committee meeting by non-Committee members is by invitation only.
G-1.5 Committees, where appropriate, may establish and recruit Members to serve on Ministry teams. Ministry teams are the head, heart, hands and feet of the ministries of Sanibel Community Church. They develop, oversee, organize and facilitate specific ministry activities of our church community. Examples would be ushers for Worship committee, ambassadors for Outreach and Missions, etc.
G-1.6 Members of the same family may not serve on any Committee at the same time. G-2 Standing Committees: Standing Committees meet and submit reports to Council on a regular basis.
G-2.1: The Shepherding Committee: Provides assistance to pastors and Council in shepherding, and guidance and advice on matters of Biblical interpretation and application.
G-2.1.1 Shepherding Committee Members must meet the biblical qualifications of 1 Timothy 3:1-7, Titus 1:5-9 and 1 Peter 5:1-4. They must be members of SCC for at least one year. Shepherding Committee Members may be members of other ministries, committees, or the Church Council. Individuals may not serve on this committee if they have a family member on church staff or Church Council.
G-2.1.2 The number of Committee Members is unspecified and may vary depending upon the needs of the church and the availability of qualified candidates, as determined by the Senior Pastor and Church Council. All Pastoral Staff are voting members of the Shepherding Committee, unless otherwise determined by the Senior Pastor and Church Council. Non-Staff Shepherding Committee Members will serve one-year terms, for a

maximum of three consecutive years. After three consecutive years such Shepherding Committee Members must take a sabbatical of at least one year. Initial Non-Staff Members will be appointed by the Senior Pastor with the advice and consent of the Church Council. Subsequent members shall be recommended by the Senior Pastor in consultation with the Pastoral Staff for nomination by Church Council and election by the Congregation at the Annual General Meeting.
G-2.1.3 The Shepherding Committee shall be responsible for the following:
• Assisting the Pastoral Staff in interpreting scripture for the church, with formal interpretations, positions and statements approved by the Church Council • Assisting the Pastoral Staff in assessing and guiding the spiritual direction of the church
• Assisting the Pastoral Staff in leading public worship and administrating the ordinances of baptism and communion
• Assisting the Pastoral Staff in teaching, visitation, pastoral counseling, disciple making, and membership interviews
• Assisting the Pastoral Staff in evaluating speakers and curriculum
• Assisting the Pastoral Staff in articulating and providing on-going evaluation of SCC!s core documents including its Statement of Faith, Distinctives and Statement of Social Principles
• Praying for the membership of the church
• Growing in shepherding skills with training from the Pastoral Staff
• Administering the Benevolence Fund through the actions of any three members acting in concert
G-2.1.4 The Shepherding Committee Chair shall be the Senior Pastor or his designee.
G-2.2: Budget and Finance Committee: Develops the SCC annual budget, evaluates monthly financial picture, provides monthly reporting to Church Council and staff and periodically reviews all financial assets of the Church. Also, it annually reviews all insurance policies relating to Church and manse properties.
G-2.2.1 Treasurer of Church Council shall serve as Chair, and provide oversight to the Budget and Finance Committee. For election and term, see Sections E-6, E-8 and E-9.
G-2.2.2 The elected members, four in number, serve four-year terms on a rotating basis. No more than one Member at Large of Council may serve as a Budget and Finance Committee Member at the same time. See G-1.3.
G-2.2.3 The following are ex-officio members of the Budget and Finance Committee; The Senior Pastor, Council Chair, and Human Resources Committee Chair.
G-2.2.4 The Treasurer and Council Chair will appoint a Church Steward from the elected Budget and Finance Committee Members. The Church Steward may serve a three-year term from the start of the appointment.
G-2.3: Human Resources (HR) Committee: Oversight of all paid staff evaluations, salary administration and fringe benefits. The Committee develops personnel policy and procedures. It is involved in crisis intervention as well as performance or conduct issues that could lead to disciplinary actions up to and including discharge.

G-2.3.1 The HR Committee Chair shall provide oversight to the Human Resources Committee.
• HR Committee Chair shall serve on the Senior Pastor Review Committee and Pastoral Search Committees.
• The HR Committee Chair shall serve as an Ex-officio member of the Budget & Finance Committee.
G-2.3.2 The HR Committee Chair shall be a Council Member nominated by the Church Council at the September Meeting and confirmed at the October Annual Meeting, with service beginning November 1. The term of office is one year with a maximum serving of three consecutive years.
G-2.3.3 The HR Committee shall provide oversight to the evaluations, salary and fringe benefit administration for the Church staff. The Committee will serve as a primary resource in the hiring of all paid staff. The Committee will develop written job descriptions for each paid position. The Chair shall present updates to the Church Council as needed.
G-2.3.4 The members are four in number and will serve four-year terms on a rotating basis. See G-1.3
G-2.5: Outreach and Missions Committee (OMC): The OMC will oversee, develop and monitor guidelines for outreach and missions support as well as develop and oversee the Outreach and Missions budget.
G-2.5.1 One pastoral staff member to be selected by the Senior Pastor will serve on the OMC.
G-2.5.2 The OMC Chair provides oversight to the Committee. Chair shall present updates to the Church Council as needed.
G-2.5.3 The OMC Chair shall be a Council member or a member of the Pastoral Staff nominated by the Church Council at the September Meeting and confirmed at the October Annual Meeting, with service beginning November 1. The term of office is one year with a maximum serving of three consecutive years.
G-2.5.4 The elected members are four in number and will serve four-year terms on a rotating basis. See G-1.3.
G-2.5.5 SCC Outreach and Missions partners or fund recipients or their family members are prohibited from serving on the OMC.
G-3 Other Committees: Other Committees meet on an as-needed basis and submit reports to Council as required.
G-3.1 Council Committee: The Council Committee consists of the elected members of the Council. Meetings of this Committee are held when necessary for the purpose of discussing matters of a nature that may require Council actions but are not appropriately discussed in an open public meeting forum.

G-3.2 Building and Grounds Committee: The Building & Grounds Committee shall oversee all activities associated with the operation, maintenance, safety, and security of all buildings, grounds, furnishings, and equipment owned by the church, in cooperation with the Senior and Operations Pastors.
G-3.2.1 Assist the Operations Pastor at his request in preparing an annual B&G budget and in reviewing requests regarding buildings, grounds, furnishings and equipment owned by the church and recommending what, if any, action should be taken. When expenditures are beyond the budget, the recommendations will be submitted to the Budget and Finance for approval. Assist in hiring and performing annual evaluations of the Property Manager. Perform a detailed annual inspection of the church building, grounds, and manses, to determine if any action is needed. Provide advice and assistance in hiring architects, engineers, and contractors for new construction.
G-3.2.2 The Operations Pastor shall chair the committee.
G-3.3 Nominating Committee: The Nominating Committee shall provide a slate of nominees for all Council Officers, nominees for Council Member at Large positions and nominees for the Standing Committees for Church approval.
G-3.3.1 The Nominating Committee shall be comprised of two Members at Large of the Church Council selected by the Church Council as well as four members from the Church Membership, two chosen by the Church Council and two chosen by the Pastoral Staff. The Council Chair and Senior Pastor shall also serve on the Nominating Committee.
G-3.3.2 The Chair of the Nominating Committee shall be appointed by the Church Council from amongst the members of the Nominating Committee.
G-3.3.3 Full membership of the Nominating Committee should be approved by the Church Council in their April meeting. The Nominating Committee solicits potential nominees from the Membership of the Church in written announcements to the Congregation. The Nominating Committee shall interview all prospective nominees for Church Council according to Section G-1. All candidates for Church Council positions must be individually interviewed by and receive a written letter of reference from the Senior Pastor. The committee is responsible to the Church Council and makes periodic reports to the Church Council as determined by that body.
G-3.4 Senior Pastoral Search Committee: Activated upon the need to fill the Senior Pastor position.
G-3.4.1: Search Committee includes Chair of Church Council, ex-officio, Search Committee Chair appointed by Chair of Council, HR Chair and two delegates from the membership nominated by Church Council Officers and two Members nominated by the Shepherding Committee. Church Council must approve the full Search Committee.
G-3.4.2: The Committee shall conduct all background research, candidate interviews and reference inquiries.
G-3.4.3: The Committee may elect to engage the services of a search or recruiting firm.
G-3.4.4: The Committee makes periodic reports to the Church Council as determined by that body. The Search Committee shall bring its recommendation to the Church Council for on-sight interviews and meetings with the Church Council. Church Council shall then bring a recommendation to the Congregation for a vote of confirmation

G-3.5 Senior Pastor Review Committee: The Senior Pastor Review Committee shall annually review and evaluate the Senior Pastor’ performance of his duties.
G-3.5.1 The Senior Pastor Review Committee consists of the Church Council Officers, plus one member appointed by the Senior Pastor and one member appointed by the Chair of the Church Council from the Church membership.
G-3.5.2 The Committee Chair shall be the Chair of the Church Council.
G-3.5.3 Input will be solicited from the Church Council and the Congregation a minimum of two weeks prior to the evaluation being discussed by the Senior Pastor Review Committee.
G-3.5.4 The Committee is responsible for reviewing the Senior Pastor’s compensation package and recommending any adjustments to salary or other benefits to the Church Council for approval.
G-3.6 Ad hoc Committees: Ad hoc Committees which are appointed by the Chair and with the consent of Church Council with a specific task assigned. The Committee ceases to function upon completion of the assignment. Ad hoc Committees which continue for more than one year are subject to reappointment at the beginning of each fiscal year.
SECTION H – PASTORAL STAFF
H-1 Biblical Qualifications: Biblical qualifications for pastors are found in 1 Timothy 3:1-7, Titus 1:5-9 and 1 Peter 5:1-4. All Pastoral Staff are considered and evaluated in the light of the principles of these Scriptures. All Pastoral Staff must embrace the Core Values of Sanibel Community Church. See Section B.
H-2 Senior Pastor
H-2.1: Duties: The Senior Pastor is the spiritual leader of the Church, and as such, is responsible for spiritual guidance and implementation of all aspects of worship, sacraments, outreach, education, fellowship, membership and parish care. The Senior Pastor shall be responsible for ensuring that SCC's Core Values are aligned with the Laws of God and His Kingdom, as well as SCC's mission to grow in Christ and to make Him known. In addition, the Senior Pastor’s experience and training make him a valuable resource person in all matters of administration and church life. To that end, the Senior Pastor is an ex-officio member of all Church committees, the only exception being committees dealing with pastoral relations. The Senior Pastor is the primary leader in the proclamation of God’s Word in the pulpit. Finally, the Senior Pastor is mentor and leader of the entire staff and is the primary visionary for Sanibel Community Church.
H-2.2: Selection : In the event of a Senior Pastor vacancy, the Pastoral Search Committee shall be activated according to Bylaw procedures (G-3.4). The Church Council will decide prior to the Search Committee formation whether the search is for an Interim or Permanent Senior Pastor. Following solicitation for candidates, résumé reviews, interviews and reference checks, the Search Committee shall bring its recommendation to the Church Council for an on-site interview and meeting with the Church Council. In the

case of a Permanent Senior Pastor the Church Council shall bring a recommendation to the Congregation for a vote of confirmation.
H-2.3: Term of Service: The Senior Pastor shall be called for an indefinite term, unless defined by contract, as Pastor and Church Council and Congregation together seek the heart and will of God for their tenure together.
H-2.4: Annual Review and Evaluation: Annually, the Senior Pastor shall receive evaluation, review and recommendations by the Senior Pastor Review Committee (See G-3.5)
H-3 Associate Pastors/Assistant Pastors/Ministry Directors
H-3.1: Duties: Duties of the Executive Pastor, Senior Associate Pastors, Operations Pastor, Associate Pastors, Assistant Pastors or Directors of Ministries, et al., shall be documented in a job description prepared by the Senior Pastor in consultation with the HR Committee and approved by the Church Council.
H-3.2: Selection: Candidates for Pastoral positions, or Directors of Ministries shall be solicited, interviewed and reviewed by the Human Resources Committee. The HR Committee will recommend candidates to the Church Council. The Church Council has final authority to approve the appointment of all Pastors, or Ministry Directors excepting the Senior Pastor.
SECTION I – CHURCH DISCIPLINE
I-1: When conduct or performance of the Senior Pastor is in question: The Council Chair is responsible for calling together the entire Council and conducting any necessary investigative process.
I-2: When conduct or performance of Staff reporting to the Senior Pastor are in question: Approval to investigate must include, in addition to the Senior Pastor and the Human Resource Committee Chair, a quorum of the Church Council. It is the duty of the Human Resource Committee Chair to conduct any necessary investigations.
I-3: Staff Termination: In the event of situations where termination may be warranted, at least two levels of supervision must be consulted. The Senior Pastor and Human Resource Committee Chair, in consultation with the Human Resource Committee, must approve the termination. It is the duty of the Human Resource Committee Chair to conduct any necessary investigations.
I-4: In all cases involving discharge: The Church Council has ultimate and final authority.
